VIRGINIA BEACH, Va.– Armada Hoffler Properties, Inc. (NYSE: AHH) (the “Company”) announced today that it has closed an underwritten public offering of 2,530,000 shares of its newly designated 6.75% Series A Cumulative Redeemable Perpetual Preferred Stock (the “Series A Preferred Stock”), which included 330,000 shares pursuant to the full exercise of the underwriters’ option to purchase additional shares, at a public offering price of $25.00 per share. Net proceeds from the offering, after the underwriting discount but before estimated offering expenses payable by the Company, were approximately $61.3 million.
The Company intends to use the net proceeds from the offering to fund a portion of the purchase price of the previously announced pending acquisition of Thames Street Wharf, a 263,426 square foot office building located in the Harbor Point neighborhood of Baltimore, Maryland. The balance of the net proceeds, if any, may be used to repay a portion of the outstanding borrowings under the Company’s unsecured revolving credit facility and/or for general corporate purposes.
Jefferies and Stifel served as joint book-running managers for the offering.
